Acceptance of Terms
By accessing the website at wordlordmedia.com, logging into our operations platform at admin.wordlordmedia.com, or entering into an agreement for marketing and design services, you (“Client”, “User”, or “You”) agree to be legally bound by these Terms of Service.
If you represent a business or corporate entity, you affirm that you have the legal authority to enter into binding contracts on its behalf. If you lack such authority or disagree with any portion of these Terms, you must refrain from using our web properties and services.
Scope of Services & Statements of Work
WordLord Media provides creative design, branding, content production, search engine optimization (SEO), performance marketing, and social analytics services.
Individual project engagements, monthly retainers, deliverables, production timelines, revision limits, and fee schedules are established through a separate written Statement of Work (SOW) or Master Services Agreement (MSA). If a conflict arises between these general Terms of Service and a signed SOW, the specific terms of the executed SOW govern that engagement.
Intellectual Property Rights
We maintain a clear legal distinction between custom client deliverables and pre-existing agency assets:
Client Deliverables Ownership: Upon full and final settlement of all applicable invoices, the Client receives complete commercial ownership and copyright in the final approved creative deliverables (including logos, finalized video files, graphics, and approved campaign copy) created specifically for that project.
Agency Pre-Existing Property: WordLord Media retains sole ownership of all pre-existing software code, internal tools, dashboard templates, custom design systems, workflows, and raw working files not explicitly transferred under the SOW.
Portfolio Display: Unless restricted by a separate signed Non-Disclosure Agreement (NDA), WordLord Media reserves the customary professional right to display completed public creative work and non-confidential project summaries in our commercial portfolio.
Client Obligations & Approvals
To ensure high quality and timely delivery, the Client agrees to:
- Provide accurate project briefs, brand assets, and necessary account authorizations in a reasonable timeframe.
- Warrant that all materials, photographs, fonts, and trademarks provided to WordLord Media are owned by the Client or properly licensed for the intended commercial use, with zero infringement of third-party rights.
- Review and provide feedback on deliverables promptly. Unannounced delays exceeding 14 calendar days may result in project timeline adjustments.
Platform & Third-Party API Dependencies
Certain marketing and analytics services interact with third-party platforms, including Meta Graph API, Google Workspace, WhatsApp Cloud API, and cloud infrastructure vendors.
- Third-Party Policy Changes: Third-party platforms operate under their own independent terms and may update APIs, rate limits, or features without notice. WordLord Media is not liable for interruptions, policy changes, or account actions initiated directly by third-party platforms.
- Credential Security: Clients remain responsible for maintaining the security of their third-party accounts and controlling administrative permissions granted to our systems.
Fees & Invoicing Terms
Fee structures, payment milestones, and billing frequencies are defined in the relevant SOW or formal quotation:
- Invoices are payable within 7 business days from the date of issue unless otherwise agreed in writing.
- Domestic transactions are billed in Indian Rupees (INR) and subject to applicable Goods and Services Tax (GST). International transactions are invoiced in US Dollars (USD) or equivalent agreed currencies.
- WordLord Media reserves the right to pause active campaign management or withhold final asset release if undisputed invoices remain past due.
Confidentiality & Non-Disclosure
Both parties agree to treat all non-public commercial information, pricing terms, customer data, and proprietary workflows as strictly confidential. Neither party will disclose confidential information to any third party without prior written consent, except to employees and vetted subcontractors requiring access to perform contracted obligations.
Limitation of Liability
To the fullest extent permitted under applicable law, WordLord Media and its personnel will not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, commercial data, or business reputation, resulting from the use of or inability to use our services.
In all circumstances, WordLord Media's total aggregate liability arising out of or related to an engagement will not exceed the total fees actually received by WordLord Media under the specific Statement of Work giving rise to the claim during the preceding three (3) months.
Termination & Cancellation
Either party may terminate an ongoing retainer agreement by giving thirty (30) days written notice to the other party, subject to the cancellation terms set forth in the governing SOW.
Upon termination, the Client shall pay all outstanding fees for work completed through the effective date of termination. Upon receipt of final payment, WordLord Media will deliver all completed deliverables corresponding to paid invoices.
Governing Law & Jurisdiction
These Terms of Service and any dispute arising from a client agreement are governed by and construed in accordance with the laws of the Republic of India, without regard to conflict of law principles.
The parties irrevocably submit to the exclusive jurisdiction of the competent courts in Ludhiana, Punjab, India for the resolution of any legal proceedings, claims, or disputes arising under these Terms.
